Terms of Service

1. Acceptance of terms

By accessing or using Rezzzo — including browsing the directory, creating a professional account, or subscribing to a paid plan — you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the service. These terms constitute a legally binding agreement between you and Rezzzo.

2. Service description

Rezzzo is an online professional directory that helps consumers find Haitian-speaking professionals — including attorneys, CPAs, physicians, therapists, and other licensed practitioners — in cities across the United States.

Rezzzo is a directory service, not a referral service, an agency, or a staffing firm. We do not endorse, recommend, or guarantee the quality, competence, or suitability of any professional listed on the platform. Listings are provided for informational purposes only.

Consumers are solely responsible for independently verifying the credentials, licensing status, and professional standing of any practitioner before engaging their services. Rezzzo is not a party to any agreement or relationship between a consumer and a professional found through the directory.

3. Professional accounts

To create and maintain a listing on Rezzzo, you must register for a professional account. By doing so, you agree to the following:

• Accuracy of information. You must provide accurate, complete, and current information on your profile, including your name, specialty, location, contact details, and credentials. Providing false or misleading information is a violation of these terms.
• License verification. Your professional license number is collected solely for the purpose of verifying that you hold a valid license in your stated specialty. This number is never displayed publicly. Submitting a false, expired, or another person's license number is a material breach of these terms and may result in the immediate and permanent removal of your profile from the directory.
• Keeping your profile current. You are responsible for keeping your profile information up to date, including changes to your contact information, practice location, or licensure status. Outdated information that could mislead consumers may result in profile deactivation.
• Rezzzo's right to moderate content. Rezzzo reserves the right to deactivate, suspend, or permanently remove any professional profile at its sole discretion, including for violations of these terms, complaints from users, or any other reason we deem appropriate to protect the integrity of the directory.

4. Subscriptions and payments

Access to a professional listing on Rezzzo requires an active paid subscription. Subscriptions are billed on a monthly or annual basis through Stripe, our third-party payment processor.

• Founding Member pricing. Professionals who subscribe at the Founding Member rate receive that discounted price locked for the lifetime of their subscription. This rate is guaranteed only for as long as the subscription remains continuously active. Cancelling your subscription — even temporarily — permanently forfeits the Founding Member rate. Reactivation will be billed at the standard rate in effect at that time.
• No refunds for partial periods. All subscription fees are non-refundable. We do not issue refunds or credits for any partial billing periods, including if you cancel partway through a month or year.
• Cancellation. You may cancel your subscription at any time from your billing dashboard. Upon cancellation, your subscription will remain active and your profile will remain visible in the directory until the end of the current paid billing period. No further charges will be made after that date.
• Failed payments. If a payment fails, we will attempt to notify you by email. Prolonged non-payment may result in your profile being deactivated until billing is resolved.

5. Prohibited conduct

You agree not to use Rezzzo in any manner that is unlawful, harmful, or contrary to the purpose of the platform. The following conduct is explicitly prohibited:

• Impersonating another professional, creating a listing under another person's name, or otherwise misrepresenting your identity or credentials
• Submitting false, forged, or fabricated credentials of any kind
• Using automated tools, bots, scrapers, or scripts to extract data from the directory without Rezzzo's prior written consent
• Using contact information obtained from Rezzzo to send unsolicited commercial communications (spam) to professionals or other users
• Attempting to interfere with, disrupt, or gain unauthorized access to Rezzzo's systems, servers, or databases

Violations of these prohibitions may result in immediate account termination and, where applicable, referral to appropriate legal authorities.

6. Intellectual property

Rezzzo and its licensors own all rights, title, and interest in the Rezzzo platform, including its design, software, code, visual assets, branding, and the compilation of directory data as a whole. These are protected by copyright, trademark, and other applicable laws.

Professional profile content — including your name, bio, photo, and other information you submit — remains owned by you. By submitting content to Rezzzo you grant us a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content on the platform and in connection with the promotion of the directory. This license ends when you delete your profile or your account is terminated.

7. Limitation of liability

Rezzzo is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Rezzzo and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service, including but not limited to any reliance on a professional listing, any interaction with a professional found through the directory, or any interruption or unavailability of the platform.

In no event shall Rezzzo's total aggregate liability to you exceed the total amount you paid to Rezzzo in the three months immediately preceding the claim.

8. Governing law and disputes

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms or your use of Rezzzo shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of those courts and waive any objection to venue in Miami-Dade County.

9. Changes to these terms

We reserve the right to update or modify these Terms of Service at any time. For non-material updates, we will revise the "Last updated" date at the top of this page. For material changes — such as modifications to payment terms, liability, or your rights — we will provide advance notice to registered professionals via email before the changes become effective. Your continued use of Rezzzo after updated terms are posted constitutes your acceptance of the revised terms.
